Notice of AGM and Board Change

Adsure Services PLC ("Adsure"), the holding company for TIAA Ltd (together, "the Group"), a specialist business assurance provider, announces that its 2025 Annual General Meeting ("AGM") will be held on Thursday 4th September 2025 at 1:00 p.m. (BST) at Company's offices, Artillery House, Fort Fareham, Newgate Lane, Fareham PO14 1AH.

Peter Hammond to step down from the Board of Adsure Services

The Company also gives notice that Peter Hammond, Non-Executive Director will not be seeking re-election at the forthcoming AGM and has informed the Company that he will sadly step down from the Board of Adsure Services at the conclusion of the Meeting to begin his retirement after 30 years of service to the Company and its operating subsidiary, TIAA Limited.

Kevin Limn, Chief Executive Officer of Adsure Services Plc, commented:

"Peter has played an integral role in the evolution of TIAA and his involvement has coincided with the most significant events in the Group's history. Personally, I have been fortunate to benefit from Peter's wisdom and unwavering confidence in our values and mission. I wish Peter all the best in his retirement."

Jeff Zitron, Non-Executive Chairperson of Adsure Services Plc, commented:

"Peter Hammond has made a unique contribution to the success of Adsure. A pioneer in the creation of TIAA Limited over 30 years ago, Peter has provided insight, encouragement and support to our staff team.  As a Board member, initially of TIAA Limited and, since listing, of Adsure, he has shared his wide commercial and financial experience and applied his shrewd judgement to our decision-making. As chair of the Audit and Risk Committee, Peter has drawn on his professional expertise as an accountant and his wealth of experience as a Finance Director and consultant. I have greatly valued his advice and support. Standing down as part of the Group's succession strategy, Peter leaves a legacy of which he can be proud and for which his colleagues are very grateful."

Peter Hammond, Non-Executive Director of Adsure Services Plc, commented:

I'm very proud it is now a listed Company, announcing revenues in excess of £10m, profit before tax of over £0.8m and equity of over £1m.
