Completion of £1 million Placing
Vaultz Capital, a digital asset operating company, is pleased to announce that it has raised £1,000,000 in an equity placing through the issue of 6,060,607 new ordinary shares of 1 pence each ("Ordinary Shares") in the capital of the Company (the "Placing Shares") at the closing bid price of 16.5 pence per share on Friday 11 July 2025 ("Issue Price") (the "Placing").
The £1,000,000 gross proceeds raised via the Placing will be used to continue executing the Company's operational business and bitcoin Treasury Strategy. Further to the Company's announcement of 29 May 2025, the Company intends to build a strategic position in Bitcoin over a multi-year horizon with the intention of becoming a leading corporate holder of Bitcoin.
Global Investment Strategy UK Limited ("GIS") is acting as bookrunner ("Bookrunner" or "Broker") in connection with the Placing. Cairn Financial Advisers LLP ("Cairn") is acting as AQSE Corporate Adviser to the Company in connection with the Admission.
Admission and Total Voting Rights
The Placing Shares will rank pari passu in all respects with the existing ordinary shares of the Company. Application has been made for the 6,060,607 Placing Shares to be admitted to trading on AQSE Growth Market ("Admission") and it is expected that Admission will take place on, or around, 17 July 2025.
Following Admission of the Placing Shares, the Company's enlarged issued share capital will comprise 129,265,196 ordinary shares. The Company does not hold any shares in treasury. The figure of 129,265,196 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
